SWEEPSTAKES OFFICIAL RULES

1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. Sweepstakes open only to legal residents of the 50 United States and Canada (excluding the province of Quebec), who are 18 years of age or older as of November 1, 2008. Employees, officers and directors of Techtronic Industries North America Inc., (the sponsor "TTI"), and their respective affiliates, subsidiaries, and advertising and promotion agencies (collectively, "Sponsor and its agents") and immediate family members (spouses and siblings, children and parents and their spouses, regardless of where they live) or members of the same households (whether related or not) of such individuals are not eligible to enter or win. This Sweepstakes is subject to all federal, state and local laws. Void where prohibited or restricted. The Sweepstakes is sponsored by Techtronic Industries North America Inc.

2. HOW TO ENTER: Ryobi® "Power Tools Have Evolved" Online Sweepstakes begins November 1, 2008 and ends on December 31, 2008 ("Sweepstakes Entry Period"). No purchase necessary. To enter online, register at http://www.fsisolutions.com/ryobi,complete the official entry form and submit for (1) one entry into the sweepstakes drawing. Limit of 10 entries per person. Online entries will be accepted beginning at 12:01 AM CT on November 1, 2008 and ending at 11:59 PM CT on December 31, 2008. No copies, facsimile, computer generated or mechanical reproductions will be accepted. All entries become property of Sponsor and will not be returned.

4. DRAWING AND NOTIFICATION: The Official Judging Agency will conduct a random drawing on or about January 1, 2009, from among all eligible entries received. Odds of winning will be determined by the number of eligible entries received. Grand Prize winner will be notified by mail and will be required to complete and return an affidavit of eligibility, a liability release or a publicity release (where legal) within 5 days of notification. If an individual cannot be contacted, is ineligible, or fails to return a completed and fully executed Affidavit and Release by the deadline, as required, the prize will be forfeited and an alternate winner will be selected. Sponsor will provide grand prize delivery within the 50 United States or Canada. Allow 6 to 8 weeks for delivery of prize from date of prize acceptance. Except where prohibited by law, acceptance of prize constitutes permission to use the winner's name, biographical information and/or likeness for purposes of advertising, trade and promotion without further compensation. If selected entrant is a Canadian resident, they will be required to correctly answer without assistance of any kind, a time-limited mathematical skill-testing question to be administered by mail or telephone in order to win.

5. CONDITIONS: By participating, entrants agree [a] to assume responsibility for all federal, state and local taxes or duties; [b] consent to the capture and use of all identifying information contained through the official on line entry form for any and all marketing purposes by the Sponsor; [c] to these rules and decisions of Sponsor and judges, which shall be final in all respects relating to this sweepstakes; [d] to release, discharge and hold harmless Sponsor and its agents and each of their respective directors, officers, shareholders, agents and employees, and their heirs, successors and assigns (collectively, "Releasees") from any and all injuries, liability, losses and damages of any kind resulting from their participation in the sweepstakes or their acceptance, possession, transfer, use or misuse of a prize including, without limitation, personal injury, death and property damage.[e] if a winner, to release the use of name and/or photograph for advertising, publicity and promotional purposes in all media worldwide without compensation (except where prohibited by law) and agree to execute specific consent to such use if asked to do so. [f] Releasees are not responsible for and shall not be liable for: (1) garbled, illegible, incomplete, damaged, misdirected, late, lost or failed electronic or mailed entries or postage due mail; (2) electronic, hardware or software program, network, internet or computer malfunctions, failures or difficulties of any kind including any injury or damage to entrant's or any other person's computer related to or resulting from participating in or downloading any materials in the Sweepstakes; (3) errors or delays in telephone/computer transmissions; (4) any condition caused by events beyond the control of the Sponsor which may cause the Sweepstakes to be disrupted or corrupted; (5) any losses or damages of any kind caused by the prize or resulting from acceptance or use of the prize or from participation in the Sweepstakes. In the event of a dispute as to ownership of an Internet entry, the authorized subscriber of the e-mail account used to enter the Sweepstakes (at the actual time of entry) will be deemed to be the entrant. Authorized account subscriber is deemed to be the natural person who is assigned an e-mail address by an Internet access provider, online service provider or other organization, which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Any attempted form of entry other than as specified herein is void. Use of any robotic, automated, macro, programmed or like automatic entry methods will void all entries made by using such methods. Sponsor reserves the right in its sole discretion to cancel, terminate or suspend the Internet entry component of this sweepstakes should virus, bugs, unauthorized human intervention, systems malfunctions, failures, difficulties or other causes beyond the control of the Sponsor and its agencies corrupt or affect the administration, security, fairness or proper play or conduct of the Internet entry component of this Sweepstakes. In such event, winner will be selected in a random drawing from among all eligible Internet entries made prior to and/or after (as appropriate) the action taken by Sponsor. Tampering with website or Sweepstakes in any way will result in disqualification and possible prosecution under applicable law. Prize is not transferable, and substitutions are not allowed except by the Sponsor, who reserves the right in its sole discretion to substitute prize of equal or lesser value in the event that prize is unavailable for any reason.
